2. Purpose and structure of the contract

These terms of use ("Terms") govern access to and use of the breaco application (the "Application", the "Service").

As breaco is a B2B service, these Terms operate at two distinct levels.

Part A — User Part B — Client Company
Who accepts Each employee, individually, at sign-up The company, represented by the person authorised to subscribe
Subject Use of the Service, conduct, personal account, content Subscription, pricing, billing, duration, termination
What survives The user's departure from a Client Company Ceases on termination of the contract, without affecting personal accounts

In the event of a contradiction between the two parts on the same subject, Part B prevails for the contractual and commercial matters specific to the B2B relationship, and Part A for matters of individual use of the Service.

The processing of your personal data is described in our privacy policy, which forms an integral part of these Terms by reference.

3. Definitions

Part A — Terms applicable to every User

4. Access to the Service and account creation

You may access breaco on invitation from a Client Company (company code, group QR code) or by creating an account through the channels provided by the Service. You undertake to provide accurate information and to keep it up to date. You are responsible for the confidentiality of your credentials and for any activity carried out from your account.

Minimum age. breaco is reserved for people aged 16 or older. You must also meet the legal age to work or to conclude an employment contract in your jurisdiction. At account creation, you are asked to declare expressly that you are 16 or older; this declaration is recorded. breaco asks for no supporting document and performs no identity or age verification. An account created on the basis of an inaccurate declaration may be deleted without notice.

5. Free of charge for Users and Communities

Individual use of breaco and the creation of a Community of up to ten people are free of charge, with no credit card and no time limit. This free access is not a commitment to maintain an identical functional scope indefinitely: breaco may change the features included in free use, subject to reasonable prior notice in the event of a substantial change.

6. Your personal account and portable professional capital

Your account is personal and belongs to you, independently of your relationship with any given Client Company. When you leave a Client Company, only your automatic membership of it is removed; your Connections, formed freely and with both people's agreement, remain attached to your account and follow you to your future companies.

breaco does not, however, guarantee the indefinite continuity of the Service or of your data beyond what the privacy policy describes.

7. Rules of use and conduct

You undertake to use breaco in a fair, respectful manner consistent with its purpose of team cohesion.

Allowed Prohibited
Publishing professional, personal or informal content in the context of team cohesion Publishing unlawful, defamatory, discriminatory or harassing content, or content infringing third-party rights
Reporting content or blocking another user through the functions provided Impersonating a third party or creating an account in another person's name without their consent
Using the Service's features for their intended use Circumventing or attempting to circumvent the Service's security measures
Responsibly reporting a security flaw to breaco Collecting or exporting other users' data en masse, or using the Service for unsolicited prospecting

In the event of a violation, breaco and the administrator of your scope may, depending on the severity and in a proportionate manner, remove content, temporarily restrict access to certain features, suspend or delete your account, without prejudice to other legal remedies.

8. Intellectual property

breaco — its brand, its logo, the architecture and functional design of the Service, its data model, its interface, its technical documentation and its source code — is the property of A. Knöpfel, who conceived its structure, defined its features and led the entirety of its realisation. The whole is protected by copyright, the law against unfair competition, the right to a name, and — from their registration — trademark rights, as well as by any other applicable legal provision. These Terms grant you only a personal, non-exclusive, non-transferable and revocable right to use the Service, for the duration of your account.

You retain ownership of the Content you publish. By publishing it, you grant breaco a non-exclusive, free licence limited to what is necessary to host, store, display and transmit this Content to the people you give access to under your visibility settings. This licence ends when you delete the Content. Deletion of your account also ends it, except for content shared with others — posts, comments, messages, and the photos and documents shared in a group — which remains visible to those people, without your name, as the privacy policy describes. All subject to the technical delays and backups described in that same policy.

9. Availability and evolution of the Service

breaco strives to ensure reasonable availability of the Service but does not guarantee uninterrupted or error-free operation. Interruptions for maintenance, updates or force majeure may occur. breaco may change, add or remove features, subject to reasonable prior notice for substantial changes.

Part B — Terms applicable to the Client Company

10. Subscription and company account

The Client Company subscribes to the Service on the basis of a commercial offer accepted in writing. It designates one or more initial administrators, responsible for configuring its scope and, within the company, for ensuring compliance with these Terms by its employees.

11. Pricing and billing

The company subscription is billed at CHF 8.– per employee per month, for a scope of 30 to 300 employees, billed annually in advance. Above 300 employees, terms are the subject of a specific offer. A founder rate may be granted to the first Client Companies; where granted, its amount and guarantee period are stated in the accepted commercial offer and prevail over the public rate for the agreed duration.

Free discovery period. Creating a company space is free for three months from its activation: the Client Company may run its first activities and evaluate the Service with no payment commitment during that period. At the end of these three months, the subscription becomes payable under the terms above, unless terminated in writing before the end of the free period. This initial free period covers the company space only and does not affect the free-of-charge access of individual accounts and Communities (section 5).

Prices are stated exclusive of tax and in Swiss francs.

The breaco games are not included in the subscription: registration for this event is paid per participant and is subject to separate terms, communicated at the time of registration.

The subscription renews tacitly for an equivalent period, unless terminated in writing with three months' notice before the expiry date — extended to five months for Client Companies of more than 1,000 employees. Invoices unpaid at their due date may lead, after a formal notice that remains unsuccessful, to suspension of access to the Service for all of the Client Company's Users, without prejudice to the sums owed.

To date, breaco stores no bank-card data; billing is by invoice. This section will be completed upon integration of a payment provider, with the corresponding update of the privacy policy.

12. Role of the Client Company as employer

The Client Company remains responsible for its own employer obligations, in particular for informing its employees of the use it makes of breaco. The powers of its administrators are strictly limited to what the privacy policy describes: breaco guarantees the Client Company no access to the private messages, personal connections or individual participation score of its employees. These limitations are a feature of the Service, not an omission or a malfunction.

The Client Company receives a monthly, exclusively aggregated adoption summary, also published to all of its employees.

13. Duration, termination and effects of the end of the contract

The subscription contract is concluded for an initial term of twelve months and renews under the terms of section 11. Either party may terminate it in writing with the agreed notice.

In the event of termination or non-renewal, access to the Service under the company account ceases at expiry. In accordance with the principle of portable professional capital (section 6), employees' personal accounts are not deleted as a result of this termination: only their membership of this Client Company ends.

breaco reserves the right to terminate the contract with immediate effect in the event of a serious or repeated breach of these Terms, after a formal notice that remains without effect where the breach is capable of being remedied.

Part C — Common provisions

14. Liability

breaco implements reasonable means to ensure the quality and security of the Service, but is not liable, to the extent permitted by Swiss law:

Except in cases of wilful misconduct or gross negligence, breaco's liability to a Client Company is limited to the total amount actually paid by it during the twelve months preceding the triggering event.

15. Data protection

The processing of personal data is described in breaco's privacy policy, available on breaco.app, which forms an integral part of these Terms.

16. Changes to the Terms

breaco may amend these Terms, in particular to reflect a change in the Service or the regulation. Users and Client Companies are informed of any substantial change by notification in the application or by email, before it takes effect. Continued use of the Service after that date constitutes acceptance of the amended Terms.

17. Governing law and jurisdiction

These Terms are governed by Swiss law, excluding conflict-of-laws rules and the Vienna Convention on the International Sale of Goods. For consumer Users, the mandatory protective provisions of their national law of residence remain reserved.

The exclusive place of jurisdiction for any dispute is the canton of Vaud, Switzerland, subject to mandatory legal fora.

18. Miscellaneous

If a clause of these Terms is held invalid or unenforceable, the other clauses remain fully in force. breaco's failure to rely on a right does not constitute a waiver of that right. These Terms and the privacy policy constitute the entire agreement between the parties on their respective subject matter.
